    Terms of Service Service Agreement Terms

    These terms govern the provision of managed IT services, cybersecurity solutions, and technical support by JSB-Tech LLC.

    Agreement Overview

    By engaging JSB-Tech LLC for services, you agree to these terms and conditions.

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and JSB-Tech LLC ("JSB-Tech," "we," "us," or "our") regarding your use of our managed IT services, cybersecurity solutions, and technical support.

    These Terms apply to all services provided by JSB-Tech unless superseded by a separately executed service agreement. In case of conflict between these Terms and a signed service agreement, the service agreement takes precedence.

    Important Notice

    Please read these terms carefully. By using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

    Services and Scope

    • JSB-Tech LLC provides managed IT services, cybersecurity solutions, cloud services, and technical support.
    • Services are provided based on the specific service agreement executed between JSB-Tech and the client.
    • Service levels, response times, and deliverables are defined in individual service agreements.
    • Any modifications to services must be agreed upon in writing by both parties.

    Client Responsibilities

    • Clients must provide accurate and complete information necessary for service delivery.
    • Maintain appropriate user access controls and security practices as recommended by JSB-Tech.
    • Provide timely access to systems, facilities, and personnel as required for service delivery.
    • Report service issues and incidents in accordance with established procedures.
    • Comply with all applicable laws and regulations in the use of our services.

    SMS/Text Messaging Terms (A2P 10DLC)

    • JSB-Tech LLC operates a customer care and service notification text messaging program from our business number, (209) 926-0460. Message types include support replies, appointment and service-visit reminders, ticket and maintenance status updates, and website contact-form notifications.
    • You enroll in this specific messaging program only by giving direct consent: checking the unchecked-by-default SMS consent box on our website contact form, texting our business number first, or providing verbal or written consent when engaging JSB-Tech LLC for services. Consent to receive text messages is not a condition of purchasing any goods or services.
    • Message frequency varies based on your service activity — typically a few messages per month.
    • Message and data rates may apply. Charges are billed by your mobile carrier according to your mobile plan.
    • You can opt out at any time by replying STOP to any message. You will receive one final confirmation message, after which no further texts will be sent to your number. Reply START to re-subscribe.

    • Mobile phone numbers and text messaging originator opt-in data collected through this program are not shared with, sold to, or bought by any third parties or affiliates for marketing or promotional purposes. This program does not involve affiliate marketing or third-party lead generation.
    • Carriers (including AT&T, T-Mobile, and Verizon) are not liable for delayed or undelivered messages.

    Data Protection and Privacy

    • JSB-Tech implements appropriate technical and organizational measures to protect client data.
    • We maintain confidentiality of all client information and proprietary data.
    • Data processing activities are conducted in accordance with applicable privacy laws.
    • Clients retain ownership of their business data and information.
    • Data breach incidents are handled according to established incident response procedures.

    Service Availability

    • Service availability targets are specified in individual service level agreements.
    • Planned maintenance activities are scheduled during agreed-upon maintenance windows.
    • Emergency maintenance may be performed with appropriate notification when possible.
    • Service credits may be available for failure to meet agreed service levels.
    • Force majeure events may affect service availability and response capabilities.

    Payment Terms

    • Payment terms are specified in individual service agreements and invoices.
    • Invoices are typically issued monthly in advance for ongoing services.
    • Payment is due within 30 days of invoice date unless otherwise specified.
    • Late payments may incur finance charges as permitted by applicable law.
    • Services may be suspended for non-payment after appropriate notice.

    Limitation of Liability

    • Our liability is limited to the amount paid for services in the 12 months preceding the claim.
    • We are not liable for indirect, consequential, or punitive damages.
    • Clients are responsible for maintaining appropriate data backups and disaster recovery plans.
    • Our liability does not extend to third-party products or services.
    • Some jurisdictions may not allow certain liability limitations.

    Governing Law

    These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

    Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in California.

    Modifications

    JSB-Tech reserves the right to modify these Terms at any time with appropriate notice to clients.

    Continued use of our services after modifications constitutes acceptance of the updated Terms.

    Termination

    Either party may terminate services with appropriate notice as specified in the service agreement.

    Termination does not relieve either party of obligations incurred prior to the termination date.

    Intellectual Property

    JSB-Tech retains ownership of all proprietary methodologies, tools, and intellectual property used in service delivery.

    Clients retain ownership of their business data and confidential information.
